Job Title: Corporate Paralegal

Kilpatrick, a large international law firm, is seeking a Corporate Paralegal for our Corporate Department in various offices including Chicago, Atlanta, Raleigh, Winston, Dallas, Houston, New York, and Washington, DC. Essential Job Functions:

1. Draft and organize documents for corporate transactions such as mergers, acquisitions, and compliance filings.


2. Manage document assembly, organization, and summarization for transactions.


3. Coordinate large closings, including preparing memoranda and binders.


4. Prepare and file organizational documents for business entities.


5. Incorporate, organize, and qualify corporations, LLCs, and partnerships.


6. Attend corporate meetings and maintain minutes and bylaws.


7. Handle publications, hearings, and shareholder communications.


8. Conduct legal research and coordinate filings with government entities.


9. Maintain corporate records and prepare related documents like stock certificates and resolutions.

Knowledge and Skills Required:

1. Bachelor's degree or equivalent experience; Paralegal certification preferred.


2. At least 3 years of relevant experience, preferably in a law firm setting.


3. Experience with corporate transaction management software (e.g., CARTA).


4. Proficiency in Microsoft Office, Adobe Acrobat, Lexis/Nexis, Westlaw, UCC, and other research tools.


5. Strong organizational, communication, and problem-solving skills.


6. Ability to work independently, handle multiple tasks, and maintain confidentiality.
